Job Overview

The role involves managing contracts in a government contracting environment, focusing on drafting, reviewing, and ensuring compliance for agreements like NDAs, teaming agreements, and subcontracts. Support legal and contracts teams in regulatory adherence, process improvement, and collaboration across departments.

Responsibilities

  • Draft, review, and analyze NDAs, teaming agreements, subcontracts, and other transactional agreements to ensure compliance with company policies and federal regulations.
  • Assist in reviewing and interpreting contract terms and conditions related to FAR and DFARS compliance.
  • Conduct legal research and provide summaries related to government contracting regulations and best practices.
  • Support internal contract management processes, including tracking key deadlines, obligations, and compliance requirements.
  • Assist in preparing responses to government inquiries, audits, and compliance reviews.
  • Maintain organized legal records and documentation for contracts, agreements, and regulatory filings.
  • Collaborate with internal departments, including procurement, compliance, and finance, to ensure alignment on contractual obligations and regulatory matters.
  • Provide support in corporate governance matters, including maintaining company policies and legal updates relevant to government contracting.
  • Assist with due diligence efforts for mergers, acquisitions, and other corporate transactions.
  • Assist with company-related compliance pertaining to U.S. Department of Labor regulations, import/export regulations, and other applicable regulations.

Qualifications

  • Bachelor’s degree and/or Paralegal certification required.
  • Minimum of three years of experience as a paralegal or contracts manager, with a focus on government contracts, transactional agreements, and regulatory compliance.
  • Understanding of FAR, DFARS, and government contracting principles.
  • Strong experience drafting, reviewing, and negotiating NDAs, subcontracts, and government contracts-related agreements.
  • Excellent legal research and writing skills.
  • Ability to manage multiple tasks, meet deadlines, and work collaboratively in a fast-paced environment.
  • Strong attention to detail and organizational skills.
  • Proficiency in Microsoft Office Suite.
  • Experience working in the defense, security, or government contracting industries is highly desirable.
  • Willingness to work in a team environment.
